Annual meetings

Please note: numbers in brackets in the following text refer to clauses of our constitution.

Our charity is run by its members and the main way they do this is through our annual meeting or AGM.

The most important thing that happens at the meeting is that the members choose the charity trustees, otherwise known as the board, who are responsible for day to day operations (10, 11).

The annual meeting is held once a year and not more than 15 months after the previous one (28, 29) and has three important tasks (31):

(a) a report by the chair on the activities of the organisation;

(b) a look at the annual accounts of the organisation; and

(c)the election or re-election of charity trustees.

Notice of meeting

We will send out a notice of this meeting 16 days before (36, 38) setting out the business of the meeting in general terms. If there is a significant proposal, such as a change to the constitution, we will explain it in more detail (37, 55).

We need a ‘quorum’ of at least 35 percent of members to be at the meeting for it to be valid (48).

Election of trustees

All trustees stand down at the annual meeting and can make themselves available to be re-elected if they wish (74).

A trustee can be:

a) a member elected by members at the annual meeting (72); or

b) a member appointed by the trustees at any time (73); or

c) a non-member appointed by the trustees at any time (76).

We can have a maximum of 8 trustees, of which a maximum of 5 are elected or appointed members, and a maximum of 3 are appointed non-members (67).

The charity trustees choose at least three officers – chair, treasurer and secretary – but can choose more if they wish (83).
